Terms of Service

These terms apply to services provided by Forge Digital Pty Ltd (ABN 83 702 412 682) ("we", "us"). By engaging us, you agree to them. Your signed client services agreement takes precedence where it differs.

1. What we provide

We build and host websites and, depending on your plan, provide related services such as Google Business Profile setup, lead follow-up automation, and a website chatbot. The specific inclusions are those listed for your plan on our website at the time you engage us, and in your quote.

2. Pricing and payment

Each plan has an upfront fee and a monthly fee. Both are stated in your quote before work begins.
The upfront fee is payable before work starts. The monthly fee begins when your site goes live and is billed in advance each month.
Work outside your plan's inclusions is quoted separately, and we won't do it without your approval.
All prices include GST unless stated otherwise.

3. Your monthly plan

There is no minimum term. Either of us may cancel by giving 30 days written notice. The monthly fee continues to the end of the notice period.
The monthly fee covers hosting, domain management, SSL, backups, security updates, support and your plan's update allowance. Unused update rounds don't roll over.
If a monthly payment fails and isn't resolved within 14 days, we may suspend the site until it's paid.

4. Ownership

Your domain name is registered in your name and belongs to you.
Your content belongs to you: text you supply, your photos, your logo, your customer data, your Google Business Profile and reviews.
The website itself (its design, code and structure) remains our property. While you are on a monthly plan you have a licence to use it for your business. This is what allows us to offer a low upfront fee. The website is not for sale and is not transferred to you.

5. If you cancel

When your plan ends, the website is taken offline at the end of the last paid period. You keep your domain, your content, your customer data and your Google Business Profile. We'll provide your domain transfer details and an export of your data on request.

6. Your responsibilities

Supply the content, access and approvals we need within a reasonable time. Delays on your side extend the timeline.
Ensure content you give us doesn't infringe anyone else's rights.
For the chatbot and any automated messaging, review and approve the information it uses. You are responsible for its accuracy, and for having consent from anyone who receives automated messages on your behalf.

7. Timelines

Timeframes we quote are estimates based on you supplying content and approvals promptly. We'll always tell you if something changes.

8. Liability

Our services come with guarantees that can't be excluded under the Australian Consumer Law. To the extent permitted by law, our liability for anything else is limited to the fees you've paid us in the previous three months. We're not liable for loss of business, revenue or data arising from third-party services, outages beyond our control, or content you've supplied.

9. Changes

We may update these terms. Changes apply to new engagements; existing clients are governed by the terms in their signed agreement.
